Terms and Conditions for Onsellers of Mochi Donuts Products (Australia)

By purchasing and reselling Mochi Donuts products, the Onseller agrees to comply with the following terms and conditions.


1. Intellectual Property (IP) & Branding Restrictions

  • The Onseller must not use Mochi Donuts’ branding, trademarks, logos, or any other intellectual property without prior written consent from Mochi Donuts.

  • Any promotional materials featuring Mochi Donuts products must be approved in writing before use.

  • Unauthorised use of Mochi Donuts’ IP may constitute a breach of the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law (ACL), leading to legal action.

2. Compliance with Australian Food Safety Laws

  • The Onseller must comply with:

    • The Australia New Zealand Food Standards Code (FSANZ).

    • Relevant state/territory food safety regulations (e.g., Food Act 2003 (NSW), Food Act 1984 (VIC), etc.).

    • Local council health and safety requirements.

  • The Onseller must maintain proper food handling certifications (e.g., Food Safety Supervisor certification where required).

  • Failure to comply may result in termination of supply and reporting to relevant authorities (e.g., state health departments).

3. Storage, Thawing & Shelf-Life Requirements

  • Frozen Storage: Mochi Donuts products must be stored at -18°C or below (as per FSANZ frozen food standards).

  • Thawing Instructions:

    • Thaw at room temperature (max. 25°C) for up to 1 hour before serving.

    • Unopened packages must be consumed within 48 hours of thawing.

    • Opened packages must be consumed within 12 hours of opening.

  • The Onseller must ensure proper temperature logs (if required by local regulations).

4. Product Labelling & Consumer Information

  • The Onseller must not remove, alter, or obscure original product labels, which include:

    • Ingredient lists (complying with FSANZ labelling requirements).

    • Allergen declarations (as per Standard 1.2.3 – Food Standards Code).

    • Best-before/thawing instructions.

  • If selling in a retail environment, the Onseller must ensure clear display of allergen warnings (e.g., gluten, dairy if applicable).

5. Liability & Indemnity

  • Mochi Donuts is not liable for any:

    • Illness or harm caused by improper storage, handling, or thawing.

    • Breaches of food safety laws by the Onseller.

    • Unauthorised modifications to the product.

  • The Onseller agrees to indemnify Mochi Donuts against any claims arising from their negligence.

6. Termination & Dispute Resolution

  • Mochi Donuts may terminate supply immediately if the Onseller:

    • Violates food safety laws.

    • Misuses IP or engages in misleading conduct under the Australian Consumer Law.

    • Fails to follow storage/thawing guidelines.

    • For any reason that may cause harm to the Mochi Donuts brand. 

 

  • Upon termination, the Onseller must:

    • Cease all use of Mochi Donuts’ intellectual property.

    • Dispose of or return any remaining stock in accordance with food safety regulations.
